These affiliate partner terms and conditions are for participation in the affiliate partner program
If you do not agree to, or cannot comply with, any of the terms and conditions given here, please do not sign-up or participate in the Program. You also hereby agree and irrevocably consent to our company's general Privacy Policy.
As an Affiliate Partner, we expect you to comply with all applicable rules, regulation laws, statutes, ordinances, codes, guidelines and the utmost integrity when dealing with customers and prospective customers.
Promotion of Webinars:
Affiliate may market and promote KN Webinars on Affiliate's website, using banners and other advertising materials provided by KN. Affiliate is not required to market the KN name or branding when promoting the Webinars. KN may also offer its Webinars to or through other organizations which compete with or which have purposes similar to those of Affiliate, and Affiliate may also market and promote e learning seminars presented by persons other than KN to its clientele.
Use of Names of Speakers:
Affiliate shall use professional business judgment when using the name, image or biographical information of any KN speaker in its marketing and promotion of Webinars. KN or the speaker reserves the right to limit/restrict the Affiliate's display of speaker information.
Registration and Billing :
Registrants will register for Webinars using the unique web link supplied to Affiliate by KN. KN or its designee shall bill each Webinar registrant and collect the registration fee from that registrant. Affiliate shall not collect any registration fees from registrants.
Commissions and Payment:
KN shall pay Affiliate a commission of as per the following structure 10% on individual registrations, 15% on Group Registrations and 20% on Inhouse Organizational Sales depending on mutual agreement between both parties, for each Webinar registration received by KN through the unique web link provided to Affiliate by KN, provided that a commission will not accrue until the Webinar for which the registration was received has been presented. KN will not pay a commission to Affiliate for any Webinar registration received by any means other than the unique web link provided to Affiliate by KN. Commissions will be accounted for as of the last day of each month, based on Webinars presented during that month, and shall be due and payable by the 30th day of the following month. KN reserves the right to cancel any scheduled Webinar if enrollment for that Webinar does not meet KN's minimum requirements.
Use of Name and Trademarks:
Affiliate is not authorized to use and shall not use the name or any trademarks of KN in any manner other than to indicate that Affiliate is authorized to offer Webinar enrollment to its clients.
Termination:
Either party may terminate Affiliate's association with KN hereunder at any time, with or without cause, by written notice to the other party. Immediately upon termination, Affiliate shall cease to market and promote KN, and shall immediately remove all banners and other advertising materials provided by KN from Affiliate's website, and KN shall deactivate the unique web link provided to Affiliate by KN. KN shall continue to pay Affiliate all commissions earned from Webinar registrations received by KN through the unique web link as of the date of termination, until the last such Webinar has been presented, as provided in Section 4 hereof.
Independent Contractor:
Affiliate shall be an independent contractor, and not an employee, partner, affiliate, joint or co-venturer, or franchisee of KN. Affiliate shall be solely responsible for all expenses which it assumes or incurs in marketing and promoting Webinar to its clients.
Notices:
All notices given under these conditions shall be in writing/electronic mail (email), and shall be sent by overnight air courier or by certified or registered mail/email, return receipt requested, to the other party at the address specified above or at such other address as such party may designate in accordance with this Section. Notices shall be deemed given when deposited with the air courier or in the mail/email, with shipping charges paid by the sender if any.
Entire Agreement:
These conditions contain the entire understanding of the parties with respect to the subject matter hereto, and may be amended or modified only by a written instrument signed by both parties.
Electronic Signature:
You consent and agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action while using any electronic service we offer; or in accessing or making any transactions regarding any agreement, acknowledgement, consent, terms, disclosures or conditions constitutes your signature, acceptance and agreement as if actually signed by you in writing. Further, you agree that no certification authority or other third party verification is necessary to the validity of your electronic signature; and that the lack of such certification or third party verification will not in any way affect the enforceability of your signature or any resulting contract between you and KN.
Governing Law:
Any Agreement between both parties shall be governed by and construed in accordance with the laws of the KN's location country. All disputes or controversies arising out of or relating to this Agreement shall be resolved by binding arbitration to be conducted in location/mean decided upon by both parties, by a single arbitrator and by and in accordance with the commercial rules of the governing country Arbitration laws. Judgment upon the award rendered by the arbitrator may be entered in the highest court having jurisdiction thereof.
